Restructuring bank debt in Egypt: compare a negotiated settlement with formal procedures

November 5, 2026

A business can agree new repayment terms with its bank and still be exposed to a supplier's claim, an unreleased guarantee or a court deadline. Equally, a court-supervised process is not automatically the best answer to a short cash-flow gap. The decision needs a map of the whole debt position, not only the largest facility.

Start by separating the commercial proposal from its legal effect. A longer repayment schedule, a temporary pause in enforcement, a release of security and an end to a proceeding are different outcomes. A document should say which outcomes it delivers and what remains open.

This guide is for a business borrower assessing its own debts in Egypt. It does not describe the resolution of an insolvent bank. Eligibility for a procedure and the treatment of each debt must be checked under the applicable law and facts.

First, establish the position before choosing the route

Put the facility agreements, amendments, guarantees and security documents beside the current account statements. Reconcile the amounts with the bank and the business's books. Separate principal, interest, fees, disputed amounts and contingent liabilities. Mark the currency, due date, alleged default and any demand or enforcement step.

Add other creditors. Supplier arrears, tax and employee obligations can change whether a bank-only agreement is workable. A forecast that assumes every non-bank creditor will wait is a proposal, not an agreed standstill.

Prepare a short-term cash-flow forecast with the finance team, supported by expected collections and payments. Distinguish a temporary timing gap from an operating loss that continues even after debt service is reduced. Legal drafting cannot make an unsupported cash-flow forecast reliable.

Record urgent notices and procedural dates separately. Do not let negotiations become the reason a deadline is missed. Before admitting an amount or offering a new guarantee, understand the effect of the proposed words and who has authority to commit the company.

What a negotiated settlement needs to answer

A consensual arrangement can focus on the debt and parties involved. Its practical attraction may be a narrower negotiation, but its scope must be clear. Do not assume it binds a creditor who has not agreed or changes a third party's rights.

Use a term-by-term schedule rather than a single headline reduction:

  • The agreed balance and any amounts that remain disputed.

  • Instalments, dates, currency, interest and fees during the new period.

  • Any new money and conditions for its availability.

  • Treatment of existing security and guarantees, including what continues.

  • The exact conduct paused, such as a specified enforcement step, and for how long.

  • Reporting, financial tests and any restrictions on business decisions.

  • Consequences of a missed payment and whether earlier claims revive.

  • Required approvals, signatures and conditions before the agreement takes effect.

A promise to consider a release is not the release itself. Identify the document and registration or other step required, the party responsible and the evidence of completion. Do not describe litigation or a separate criminal matter as closed just because the commercial debt has been discussed or partly paid.

Check eligibility before comparing formal options

Law 11 of 2018 regulates restructuring, preventive composition and bankruptcy. Its issuing provisions apply it to a trader under the referenced Trade Law definition, with issuing Article 1 excluding public-sector and public-business-sector companies. Other route-specific exclusions and conditions must be checked separately. The exact debtor identity matters. [S1, issuing Article 1]

Statutory restructuring has its own conditions. Article 15 of the attached law refers to a trader with capital of at least EGP 1 million, continuous trading during the preceding two years and no fraud, and excludes a company in liquidation from restructuring. [S1, Article 15] These conditions must be tested rather than inferred from the fact that a company has a commercial loan.

Preventive composition is a separate route. Article 30 addresses a qualifying trader whose financial affairs are disturbed in a way that could lead to cessation of payment, and also addresses an applicant already in cessation of payment, including a 15-day period from cessation of payment for that application. Article 31, as replaced in 2021, includes continuous trading over the preceding two years, compliance with commercial-register and commercial-books requirements and the relevant company authorization. [S1, Article 30; S2, Article 31]

The business should obtain prompt advice on eligibility and dates, not use a general article to calculate a last filing day. The reference to bank debt describes a creditor relationship, not a separate automatic procedure for every bank borrower.

Restructuring: a plan, not just a discount request

Article 18 describes restructuring as a plan to reorganize the trader's financial and administrative affairs, address financial and administrative disturbance and explain debt repayment and proposed funding. It identifies possible measures including asset revaluation, debt restructuring, capital increases and cash-flow changes. [S1, Article 18]

A useful proposal therefore connects legal steps to the operating plan. If an asset sale funds repayment, identify ownership, security and sale assumptions. If shareholders will contribute capital, distinguish a signed commitment from a hoped-for contribution. If new finance is needed, identify its proposed source and conditions.

The law provides for an expert restructuring committee and judicial involvement. Article 21 addresses approval of the plan based on the agreement of parties signing it and makes it binding on those parties. [S1, Article 21] Do not present that as a power to impose every proposal on every creditor without consent.

Article 20, as replaced in 2021, gives the committee six months to report from the application, with a possible equivalent extension, and addresses implementation within five years with a possible further two years on the specified request and consent conditions. [S2, Article 20] Those statutory periods are not a promise of a result by a particular date.

Be precise about any pause in proceedings

A dangerous shortcut is to say that filing for restructuring "freezes everything". Article 17, as amended in 2021, addresses suspension of bankruptcy and preventive-composition applications and proceedings pending the restructuring application. A repeat application is barred for three months after rejection or archival of the previous application and, in any case, does not suspend those applications and proceedings. That is not the same wording as a universal halt to all collection or enforcement. [S2, Article 17]

Article 29 addresses a further effect after approval of a restructuring plan: restrictions on proceedings between the trader and a signing creditor that relate to the plan or its progress, and suspension of limitation periods for relevant claims and debts until the plan ends. [S1, Article 29] The stage, parties and subject matter matter.

For each threatened action, the review should identify the actual legal basis for a pause, its trigger and whether the creditor and claim fall within it. A statement made during negotiation is not proof that the court file or enforcement position has changed.

Preventive composition has a different proposal and decision process

The amended Article 35 calls for the debtor's preventive-composition application to explain the business disturbance and repayment proposals, including debt ordering, proposed creditor classes and proposed finance with its amount, interest, provider, duration and implementation. [S2, Article 35]

That is a different task from obtaining one bank's revised repayment table. The business needs a supported view of the creditor population, proposed treatment and funding. Voting, approval and effects require a review of the full applicable procedure. This guide does not assume a majority can bind every secured or non-participating creditor in every circumstance.

Article 66, as amended, allows preventive composition to include time for payment of debt or interest, or a waiver of some or all debt or interest, with or without consideration through an asset interest or participation in the business. [S2, Article 66] The fact that the statute permits a type of proposal does not mean a creditor must accept it or the court will approve the business's preferred outcome.

Compare the routes using the same facts

Consider a hypothetical manufacturer with one bank facility, overdue suppliers and a viable order book, but a delay in collecting receivables. The first question is whether the expected collections are credible and sufficient, not whether the business can label itself "under restructuring".

For a negotiated route, identify the bank's written agreement and what suppliers are prepared to do. Test the forecast if one major supplier refuses to wait. For a formal route, test the debtor's eligibility, required records, funding and the precise procedural effects needed. Keep both analyses on the same debt and cash-flow numbers.

Now change the facts: the order book is uncertain, asset values are disputed and repayment depends on an uncommitted investor. A longer schedule alone may not solve the underlying problem. The decision file should show those assumptions openly so management can assess risk with its legal and financial advisers. This is an illustration, not an account of a client case or a predicted court outcome.

Build one decision file for management and advisers

The file should include the contract and security map, reconciled debt table, short-term cash forecast, recent financial statements, asset list, creditor contacts, demands and existing proceedings. Add the company approvals needed for the proposed route and the name of the person authorized to negotiate, distinct from the person authorized to sign.

Use an options table with the outcomes sought, parties whose agreement is needed, funds required, open legal questions and actions that cannot wait. Keep an evidence column for every major assumption. A plan that cannot explain its funding is not ready because its legal form looks complete.

For the distinction between a borrower and the regulatory regime for banks, read the Egypt banking and finance guide, which is wider context, not this article's source for trader restructuring rules. The Egypt restructuring and bankruptcy practice can review eligibility, creditor negotiations and the legal materials for a proposed route within an agreed mandate. Start with the business activity, creditor profile and urgent dates; agree a secure channel before sharing confidential finance records.

Questions business borrowers ask

Does a bank settlement end every proceeding?

Do not assume so. Identify the particular proceeding, parties and required legal steps. A commercial agreement should not be described as a universal release.

Does applying for restructuring stop all enforcement?

No universal promise follows from the application. Article 17 and Article 29 deal with different stages and effects. The particular action, creditor and debt need separate review.

Is preventive composition the same as restructuring?

No. They have distinct conditions and procedural rules. The debtor's eligibility, stage of distress, records and proposed creditor treatment affect the choice.

Can this article confirm the business qualifies?

No. The actual legal entity, trading history, capital, financial position, approvals and proceedings must be reviewed against the current applicable law.
