Describe the Egyptian activity precisely
State what will be sold, to whom, from where and by which contracting party. Compare a local company, branch or venture against actual control and operations. Have current Egyptian requirements checked for the specific model; a structure that suited an older project should not be copied without that step. Use the first customer contract as a stress test: who gives the service, signs it, invoices, collects and handles a complaint? Map any import, premises or sector conditions against that concrete flow, with a named owner and status for each permission.
Align ownership and daily powers
Read the constitution, shareholder terms, decisions, powers of attorney and bank mandates together. Who signs supplier, customer and financing documents? Record beneficial owners and the funding path. A group chart is useful, but it does not show whether the person making promises has authority to do so. Compare those powers with what banks and counterparties will actually require. Date the approvals and record limits, delegation and revocation. If a founder has left, update both the internal register and the external signatures that remain in use.
Map delivery and payment
Follow a customer order from offer to invoice, delivery and complaint. If one company contracts while another provides staff and a third takes payment, explain those roles in the documents. Examine warranties, suppliers, employment and customer data together; they meet in the real transaction. Decide when title, risk and acceptance pass; link each to an invoice or payment trigger. Test a returned order and a supplier failure to see whether the contracts assign the same entity the ability to remedy the issue. Preserve privacy and staff responsibilities in those handoffs.
Prepare for growth and exit
A new service, investor or change of manager can alter the first approval assumptions. Set voting thresholds, valuation, record access and dispute steps. Review contracts, operating requirements and the actual handover before the change takes effect in Egypt, rather than relying on the original formation file. Give an incoming investor a clean cap table, decision record, material contracts and outstanding obligations. Plan a manager departure and data handover before access is lost. Keep a dated closing list for signatures, filings, account controls and counterparty notifications.
