Corporate and commercial work in Kuwait and Egypt

Country guides and next checks

For the operating structure, read our Kuwait company setup guide or Egypt company formation guide. For an ownership change, see capital markets; for contract disagreements, see dispute resolution.

Company formation, investment approvals and operating contracts are different questions. We start by identifying the investor, business activity and the entity that will sign and perform. The legal form and local approvals are then checked in the relevant country rather than inferred from a regional template.

Kuwait: company and investment routes

Kuwait Companies Law No. 1 of 2016 governs company forms. A proposed foreign investment may also raise a distinct route under Law No. 116 of 2013 and Kuwait Direct Investment Promotion Authority (KDIPA) rules. KDIPA publishes decisions on licensing foreign-company branches and representative offices; eligibility, excluded activities and current procedures must be checked for the particular project. An overseas professional partner is not a client’s investment license.

Egypt: incorporation and activity approvals

Egypt’s Investment Law No. 72 of 2017 provides an investment framework. The General Authority for Investment and Free Zones (GAFI) describes electronic incorporation for specified forms and Investor Service Centers that coordinate with relevant licensing authorities. A company certificate does not by itself answer sector, location or operational permit questions. Check the proposed ownership, documents, fees, signature process and applicable sector approvals before committing to a launch date.

Commercial contracts and governance

Map who owns the shares, who can sign, how decisions and deadlocks are handled, and how money or assets move. Match the contract to actual distribution, supply, technology or service operations. Before a dispute, preserve signed versions, notices and the transaction record. An issue involving workers, insurance or data requires a separate subject-matter check rather than a promise that one general corporate clause solves it.

MENA coordination

The firm was founded in Kuwait in 1986 and has a branch in Egypt. It covers MENA matters in cooperation with partner offices in Saudi Arabia, the UAE and Qatar, with partner offices in Turkey and the United States. Those partners are not branches owned by the firm; local licensing and advice are assessed in the relevant jurisdiction.
