M&A Advisory in Oman
Advisory on acquisitions, mergers and investments in Oman, in cooperation with a partner office in the Sultanate.
M&A Advisory in Oman
The firm covers Oman matters in cooperation with a partner office in the Sultanate of Oman. That partner office is not a branch owned by the firm, and the firm does not itself hold an Oman law practice license; local licensing and representation are assessed for each matter in the Sultanate.
We advise buyers, sellers and investors on acquisitions of Omani companies and businesses, with the transaction work coordinated with a partner office in the Sultanate of Oman. The work is advisory: structure, due diligence, transaction documents and the order of approvals.
The Omani legal framework for deals
Commercial companies in Oman are governed by the Commercial Companies Law issued by Royal Decree No. 18/2019. The Foreign Capital Investment Law issued by Royal Decree No. 50/2019 allows full foreign ownership in most sectors, with exclusions set by decision, and the free zones of Duqm, Sohar and Salalah apply their own regimes. Mergers and acquisitions are also subject to the Competition Protection and Monopoly Prevention Law issued by Royal Decree No. 67/2014, and a listed target brings the Financial Services Authority and the Muscat Stock Exchange into the picture.
What we check on an Omani deal
We check whether the target sits on the mainland or in a free zone, whether the activity is open to the intended foreign ownership, and whether the competition law is engaged by the size and effect of the deal. We then review the target's constitutional documents, shareholder rights and key contracts, and plan the order of approvals and signing steps. For the wider corporate practice, see General Commercial & Corporate; for a specific transaction, contact our team.
MENA coordination
The firm was founded in Kuwait in 1986 and has a branch in Cairo. It covers MENA matters in cooperation with partner offices in Saudi Arabia, the UAE and Qatar, and partner offices in Turkey and the United States. Those partner offices are not branches owned by the firm; local licensing and advice are assessed in the relevant jurisdiction.
