M&A Advisory in Bahrain

Advisory on acquisitions, mergers and investments in Bahrain, in cooperation with a partner office in the Kingdom.

M&A Advisory in Bahrain

The firm covers Bahrain matters in cooperation with a partner office in the Kingdom of Bahrain. That partner office is not a branch owned by the firm, and the firm does not itself hold a Bahrain law practice license; local licensing and representation are assessed for each matter in the Kingdom.

We advise buyers, sellers and investors on acquisitions of Bahraini companies and businesses, with the transaction work coordinated with a partner office in the Kingdom of Bahrain. The work is advisory: structure, due diligence, transaction documents and the order of approvals.

The Bahraini legal framework for deals

Commercial companies in Bahrain are governed by the Commercial Companies Law (Legislative Decree No. 21 of 2001, as amended), and commercial registration runs through the Sijilat portal of the Ministry of Industry and Commerce. Bahrain allows full foreign ownership in most sectors. Economic concentration is regulated by Law No. 31 of 2018 on the Promotion and Protection of Competition, which has a chapter on mergers and acquisitions that change control. For listed companies, the Central Bank of Bahrain's Takeovers, Mergers and Acquisitions Module in Volume 6 of its Rulebook sets the conduct rules for offers.

What we check on a Bahraini deal

We test whether the transaction is an economic concentration under the competition law and confirm which body receives any filing, then review the target's registration, articles and shareholder arrangements. For a listed target we work through the offer rules before any approach is made. Contracts, licences and financing terms that react to a change of control are mapped before signing. For the wider corporate practice, see General Commercial & Corporate; for a specific transaction, contact our team.

MENA coordination

The firm was founded in Kuwait in 1986 and has a branch in Cairo. It covers MENA matters in cooperation with partner offices in Saudi Arabia, the UAE and Qatar, and partner offices in Turkey and the United States. Those partner offices are not branches owned by the firm; local licensing and advice are assessed in the relevant jurisdiction.
