Start with the work the company will do
List products, customers, who signs contracts and how payment and delivery move. A broad corporate label does not establish that each activity is covered by the company’s actual arrangements. Compare planned work, ownership and current Kuwait requirements before settling the operating structure. Walk through the first actual order and mark the operating entity, location, goods or service, supplier and customer. Put every required authorization next to its owner and evidence, rather than treating formation as permission for all subsequent work.
Read authority documents as a set
Put constitutional documents, shareholder terms, board decisions, powers of attorney and bank signing rules together. Who may borrow, sell shares, appoint managers or promise delivery to a major customer? If day-to-day decisions follow a different path, fix the mismatch before counterparties rely on it. Keep a dated matrix of authority limits, signatories, delegated powers and bank mandates. Compare it with the signatures on material existing contracts. If a manager changes, revoke access and update counterparty and banking records as well as internal decisions.
Follow one transaction end to end
Which entity quotes, invoices, provides staff, delivers goods, collects money and handles claims? Intra-group agreements should explain real work, not merely provide a paper trail. A new client, product or location can change assumptions made for the original business; check the documents again at that point. Test a late delivery, return and non-payment: which entity must respond, who owns the stock or work, and which document creates the remedy? Include staff, supplier and customer data handoffs in the map. An undocumented affiliate role is a practical risk, not merely a filing issue.
Plan ownership change and dispute
Set decision thresholds, access to records, treatment of a deadlock and the handover of customer files and IP. Before buying a stake, inspect existing financing, guarantees and key contracts. The effects of any transfer need checking against the actual transaction and current Kuwait rules, not a generic promise about company setup. A buyer needs a dated ownership and obligation file, including security, guarantees and consent requirements. Map who may approve the sale and who can see the underlying records. Plan the transfer of customer relationships and system access alongside signed transaction documents.
